1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website located at ultimatetradingacademy.com and any related content, courses, coaching programs, communities, newsletters, videos, and services (collectively, the "Services") offered by Strauss Holdings LLC, a Wyoming limited liability company, doing business as Ultimate Trading Academy ("Ultimate Trading," "we," "us," or "our"). By accessing the website, creating an account, purchasing a product, or otherwise using our Services, you agree to be bound by these Terms and by our Privacy Policy and Disclaimer, each incorporated herein by reference. If you do not agree, do not use the Services.
2. Eligibility
You must be at least eighteen (18) years old and legally able to enter into a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. Services are directed to users who choose to access them on their own initiative and are responsible for compliance with local laws.
3. Educational Purpose Only
All content and Services are provided for educational and informational purposes only. Ultimate Trading Academy and Strauss Holdings LLC are not registered as an investment adviser, broker-dealer, or financial planner with the U.S. Securities and Exchange Commission (SEC), FINRA, or any state securities regulatory authority, and we do not provide personalized investment, legal, tax, or accounting advice. Full risk and disclaimer terms are set forth in our Disclaimer, which forms part of these Terms.
4. Account Registration
To access certain Services you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We may suspend or terminate accounts that contain false information or that are used in violation of these Terms.
5. Purchases, Subscriptions, and Renewals
Prices for courses, coaching, memberships, and other Services are displayed at the point of purchase and are quoted in U.S. dollars unless otherwise stated. By completing a purchase you authorize us and our payment processors to charge the payment method you provide. Subscription-based Services will automatically renew at the end of each billing period at the then-current price unless you cancel before the renewal date through your account settings or by contacting us at hello@ultimatetradingacademy.com. You are responsible for all applicable taxes.
6. Refund Policy
Except where required by applicable law, all sales are final and non-refundable once you have accessed, downloaded, or streamed any portion of the purchased content, or after seven (7) days from the purchase date, whichever occurs first. Coaching sessions that have been scheduled and delivered are non-refundable. To request a refund within the eligibility window, contact us at hello@ultimatetradingacademy.com. We reserve the right to grant or deny refund requests in our reasonable discretion, and to deny refunds in cases of suspected abuse.
7. License to Access Content
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your own individual, non-commercial educational use. This license does not include any right to (a) resell, redistribute, or publicly display the content; (b) share your login credentials with any third party; (c) use the content to create a competing product or service; (d) copy, modify, or create derivative works; or (e) use any automated system to access, scrape, or download content.
8. Intellectual Property
All content made available through the Services — including but not limited to text, graphics, logos, trademarks, videos, audio, course materials, playbooks, trading frameworks (including the "Wealth Wheel" methodology and any related proprietary terminology), software, and design — is owned by Strauss Holdings LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws. No rights are granted to you other than the limited license expressly stated in Section 7.
9. User Conduct and Prohibited Uses
You agree not to use the Services to: (a) violate any applicable law or regulation; (b) infringe the rights of any third party; (c) upload or transmit any material that is unlawful, defamatory, harassing, obscene, or otherwise objectionable; (d) impersonate any person or misrepresent your affiliation; (e) interfere with or disrupt the Services or servers; (f) attempt to gain unauthorized access to any portion of the Services; (g) hold yourself out as a licensed financial adviser based on our content; or (h) use the Services to solicit clients or promote competing services. Violation may result in immediate suspension or termination without refund.
10. User Content and Community
If the Services include a community area, forum, chat, or comment feature, you retain ownership of the content you submit ("User Content"). By submitting User Content, you grant Ultimate Trading a worldwide, royalty-free, non-exclusive, perpetual, sublicensable license to use, reproduce, modify, publish, and display such content in connection with the Services. You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any third-party rights. We may remove User Content and suspend users at our discretion.
11. Third-Party Services and Links
The Services may contain links to third-party websites, brokers, platforms, or tools. We do not control and are not responsible for third-party content, products, or services, and we do not endorse them. Your interactions with any third party are solely between you and that third party.
12. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted access, or accuracy of content. We do not warrant that the Services will meet your requirements or that any trading strategy discussed will be profitable. Any reliance on the Services is at your sole risk.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Strauss Holdings LLC, Ultimate Trading Academy, or their respective officers, directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, trading capital, or goodwill, arising out of or in connection with your use of the Services, whether based on contract, tort, strict liability, or any other legal theory, even if advised of the possibility of such damages. In any event, our aggregate liability arising out of or relating to these Terms or the Services shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
14. Indemnification
You agree to indemnify, defend, and hold harmless Strauss Holdings LLC, Ultimate Trading Academy, and their officers, directors, employees, contractors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any trades or financial decisions you make.
15. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including any breach of these Terms. Upon termination, your license to use the Services ends immediately. Sections 6 through 18 will survive termination.
16. Modifications
We may modify these Terms at any time by posting the revised version on our website and updating the "Last updated" date. Material changes will be communicated by email or in-product notice where feasible. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in Casper, Wyoming, and conducted in English. Each party waives any right to a jury trial and to participate in a class action. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property rights.
18. Miscellaneous
These Terms, together with the Disclaimer and Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
